1. Acceptance of Terms

Welcome to NirmIQ. These Terms of Service ("Terms") govern your access to and use of the NirmIQ platform, including our website at nirmiq.com and app.nirmiq.com, and all related services (collectively, the "Service") provided by Gannet Solutions ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

NirmIQ is a cloud-based software platform that provides:

• Requirements management and traceability
• Failure Mode and Effects Analysis (FMEA) tools
• Compliance documentation for safety-critical industries
• Collaboration and version control features
• Integration with third-party tools (Jira, Git, MATLAB/Simulink)
• AI-assisted document processing and analysis

3. Account Registration

To use the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or that contain false or misleading information.

4. Subscription and Payment

4.1 Subscription Plans

The Service is offered on a subscription basis. Available plans include Free, Starter, Professional, and Enterprise tiers with varying features and usage limits. Current pricing is available at nirmiq.com/pricing.

4.2 Free Trial

We offer a 14-day free trial for new users. No credit card is required for the trial. At the end of the trial, you may subscribe to a paid plan or your account will be limited to Free tier functionality.

4.3 Billing

Paid subscriptions are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms. We use Stripe for payment processing; your payment information is subject to Stripe's terms of service.

4.4 Price Changes

We may modify our pricing with 30 days' notice. Price changes will take effect at the start of your next billing cycle after the notice period.

5. Your Data and Content

5.1 Ownership

You retain all rights to your data, including requirements, FMEA analyses, documents, and other content you upload or create using the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License to Us

You grant us a limited, non-exclusive license to use, copy, store, and process Your Content solely to provide the Service. This license includes the right to make backups and provide technical support.

5.3 Data Export

You may export Your Content at any time using our export features (ReqIF, Excel, CSV formats). Upon account termination, you will have 30 days to export your data before it is deleted.

5.4 Prohibited Content

You agree not to upload or transmit content that:

• Infringes intellectual property rights of others
• Contains malware, viruses, or harmful code
• Violates any applicable laws or regulations
• Contains confidential information you are not authorized to share

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated means to access the Service without permission
• Share your account credentials with unauthorized users
• Resell or redistribute the Service without authorization
• Use the Service to develop a competing product

7. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are owned by Gannet Solutions and are protected by international copyright, trademark, patent, and other intellectual property laws.

"NirmIQ" and our logo are trademarks of Gannet Solutions. You may not use our trademarks without prior written permission.

8. Third-Party Services

The Service may integrate with third-party services (Jira, GitHub, GitLab, Stripe, etc.). Your use of third-party services is subject to their respective terms of service. We are not responsible for third-party services and do not warrant their accuracy, reliability, or quality.

9. Disclaimers

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

9.3 AI-Assisted Features

AI-powered features (document parsing, requirement suggestions, etc.) are provided as assistance tools only. AI-generated content should be reviewed and validated by qualified personnel before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GANNET SOLUTIONS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Gannet Solutions and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

• Your right to use the Service will immediately cease
• You may export your data within 30 days
• We may delete your data after the 30-day period
• Provisions that by nature should survive will survive termination

You may terminate your account at any time through your account settings or by contacting us.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms and updating the "Last updated" date. Your continued use of the Service after changes constitute acceptance of the modified Terms.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Gannet Solutions is registered, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property violations.

• Entire Agreement: These Terms constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• Waiver: Our failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
• Force Majeure: We are not liable for delays or failures due to circumstances beyond our control.
